SEC drops its fraud case against WLF investor Justin Sun as his company pays $10M

On March 5, 2026, the SEC dismissed with prejudice the fraud suit it filed in 2023 against Tron founder Justin Sun, accepting a $10 million civil penalty. Sun had invested $75 million in the Trump family’s World Liberty Financial in late 2024 and become an advisor to it.

What happened

On February 26, 2025, five weeks into the new administration, the SEC, Justin Sun, the Tron Foundation and the BitTorrent Foundation jointly asked a Manhattan federal court to pause the SEC’s 2023 case “to explore a potential resolution.“ The court granted the stay, and in August 2025 the parties reported that talks were ongoing. By then Sun had bought $30 million of WLFI tokens in World Liberty Financial, become an adviser to it, and raised his holdings to about $75 million.

In March 2023 the SEC sued Justin Sun, founder of the Tron blockchain, along with the Tron Foundation, the BitTorrent Foundation and Rainberry Inc. Rainberry is the former BitTorrent company he controls. The SEC alleged they sold TRX and BTT as unregistered securities, orchestrated hundreds of thousands of wash trades to fake trading volume, and paid celebrities to promote the tokens without disclosure.

In late 2024, after Trump’s election, Sun invested about $75 million in World Liberty Financial, the Trump family’s crypto venture, and was named an adviser to it. In May 2025 Sun was the top buyer at the $TRUMP memecoin dinner.

On March 5, 2026, the SEC moved to end the case. Rainberry agreed to pay a $10 million civil penalty and accept a permanent injunction. The claims against Sun himself and against the two foundations were dismissed with prejudice, meaning they cannot be refiled, with no admission or denial of wrongdoing. Sun said the resolution “brings closure.“

Who benefited

Justin Sun saw a federal fraud case that had hung over him since 2023 end with no finding against him, no personal penalty and no possibility of refiling. World Liberty Financial, which had taken his $75 million, also benefited.

Who wanted something

Sun invested in the president’s family’s venture while the case was pending. The agency paused it five weeks into the term and then dropped the claims against him.

Who lost out

You did, because the SEC enforces securities law on the public’s behalf. Its own allegations of wash trading and paid promotion were settled for a $10 million corporate penalty rather than tested in court. Holders of TRX and BTT whom the SEC said were misled got no verdict.

Why it matters

The agency that dropped the case answers to the president whose family business took Sun’s $75 million. The record does not show a direct order. It shows the investment, the pause, the memecoin dinner and the dismissal, in that order.
